Terms governing use of the Capstra Labs LLC corporate website.

1. Acceptance of Terms

By accessing and using the Capstra Labs LLC website at capstralabs.com (the "Site"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Site.

These Terms apply solely to the Capstra Labs corporate website. Each of our portfolio companies — Blazen AI (aicliplabs.com), LedgerScanner (ledgerscanner.com), and NetTrace AI (nettrace.ai) — is governed by its own terms of service.

The Site is an informational corporate website for Capstra Labs LLC. It provides information about our company, our portfolio of operating businesses, and corporate contact details. The Site does not offer products for sale, user accounts, or interactive services beyond providing information.

All content on this Site — including but not limited to text, graphics, logos, trademarks, trade names, and site design — is the property of Capstra Labs LLC or its licensors and is protected by United States and international intellectual property laws.

  • Attempt to gain unauthorized access to any portion of the Site or its systems

Capstra Labs LLC does not warrant that:

  • Any errors or defects will be corrected

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CAPSTRA LABS LLC AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS ($100.00).

You agree to indemnify, defend, and hold harmless Capstra Labs LLC, its officers, directors, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Site or violation of these Terms.

Capstra Labs LLC does not endorse, control, or assume responsibility for the content or practices of any third-party websites. 9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of California. You consent to the personal jurisdiction of such courts.

10. Dispute Resolution

Before initiating any legal proceeding, you agree to first contact us at support@capstralabs.com and attempt to resolve the dispute informally for at least thirty (30) days.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

12. Entire Agreement

These Terms constitute the entire agreement between you and Capstra Labs LLC regarding use of the Site and supersede all prior agreements, communications, and proposals, whether written or oral, relating to the Site.

13. Waiver

The failure of Capstra Labs LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Capstra Labs LLC.

14. Changes to Terms

Capstra Labs LLC reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated "Last Updated" date. Your continued use of the Site after such changes constitutes acceptance of the revised Terms.
